Authorized Retailer Terms & Conditions
1. Agreement
By becoming an authorized retailer for Tonemy, you agree to comply with the terms and conditions outlined in this agreement. This agreement governs the business relationship between Tonemy and the authorized retailer.
2. Authorized Retailer Obligations
2.1 Product Ordering and Sales
The authorized retailer shall place orders for Tonemy products in accordance with the terms and procedures established by Tonemy. The authorized retailer agrees to sell only genuine and authentic Tonemy products and refrain from engaging in any deceptive or fraudulent practices.
2.2 Brand Representation
The authorized retailer agrees to represent Tonemy in a positive and professional manner. This includes accurately conveying product information, providing excellent customer service, and maintaining a clean and inviting retail environment.
2.3 Pricing and Discounts
The authorized retailer is responsible for setting prices for Tonemy products in its retail location(s). Tonemy may provide suggested retail prices and discounts, but the final pricing decisions are at the discretion of the authorized retailer.
2.4 Marketing and Advertising
The authorized retailer may promote Tonemy products through marketing and advertising efforts in accordance with applicable laws and regulations. However, the authorized retailer shall not engage in any false or misleading advertising practices that may harm the reputation of Tonemy.
2.5 Compliance with Laws and Regulations
The authorized retailer shall comply with all applicable laws and regulations, including but not limited to those related to product labeling, advertising, consumer protection, and intellectual property rights.
3. Intellectual Property Rights
3.1 Trademarks and Logos
The authorized retailer acknowledges that all trademarks, logos, and other intellectual property rights related to Tonemy products are owned by Tonemy. The authorized retailer is granted a limited license to use these intellectual property rights solely for the purpose of promoting and selling Tonemy products.
3.2 Unauthorized Use
The authorized retailer shall not use Tonemy's trademarks, logos, or other intellectual property rights in any manner that may cause confusion, dilution, or damage to the reputation of Tonemy.
4. Termination
4.1 Termination for Convenience
Either party may terminate this agreement with written notice to the other party. In the event of termination, the authorized retailer shall immediately cease any promotion and sale of Tonemy products.
4.2 Termination for Breach
Tonemy may terminate this agreement immediately if the authorized retailer breaches any of the obligations outlined in this agreement. Such termination will be at the sole discretion of Tonemy.
5. Governing Law
This agreement shall be governed by and construed in accordance with the laws of [Jurisdiction]. Any disputes arising from this agreement shall be resolved by the courts of [Jurisdiction].
